Independent Contractor Agreement
This Independent Contractor Agreement ("Agreement") is made and entered into as of Date, by and between:

1. Engagement:
The Company hereby engages the Contractor as an independent contractor to perform the services described herein, and the Contractor hereby accepts such engagement.
2. Services:
The Contractor agrees to promote and market A Ray of Sunshine Coffee products through various platforms including but not limited to social media, blogs, and other online channels. Specific duties include:
- Creating and sharing original content featuring A Ray of Sunshine Coffee products.
- Using a unique referral link to track sales and engagements.
- Adhering to the brand guidelines provided by the Company.
3. Compensation:
- The Contractor will receive a 25% commission on all sales generated through their unique referral link.
- Commissions will be paid bi-weekly via [payment method, e.g., PayPal, bank transfer].
- The Contractor is responsible for any taxes applicable to the compensation received.
4. Term and Termination:
- This Agreement shall commence on the date first written above and shall continue until terminated by either party.
- Either party may terminate this Agreement at any time, with or without cause, upon written notice to the other party.
- Upon termination, the Contractor shall cease all promotional activities and return any Company materials.
5. Independent Contractor Status:
- The Contractor is an independent contractor and not an employee of the Company. Nothing in this Agreement shall be construed to create an employer-employee relationship.
- The Contractor shall have no authority to bind the Company in any manner.
6. Confidentiality:
- The Contractor agrees to maintain the confidentiality of any proprietary information received during the course of their engagement.
- Confidential information shall not be disclosed to any third party without the prior written consent of the Company.
7. Intellectual Property:
- Any content created by the Contractor for the purpose of promoting A Ray of Sunshine Coffee shall be owned by the Contractor, with the Company granted a perpetual, non-exclusive, royalty-free license to use such content for marketing and promotional purposes.
- The Contractor agrees not to use the Company’s trademarks, logos, or other intellectual property without prior written consent.
8. Indemnification:
- The Contractor agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, or expenses arising out of the Contractor's performance of the services under this Agreement.
9. Governing Law:
- This Agreement shall be governed by and construed in accordance with the laws of Georgia.
- Any disputes arising out of this Agreement shall be resolved in the courts of Georgia.
10. Entire Agreement:
- This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
- Any amendments or modifications to this Agreement must be in writing and signed by both parties.
